This Code of Ethics applies to iov42 Ltd. as well as all its subsidiaries.

I. Acting with Integrity

We act with integrity and hold ourselves to the highest ethical standards. We are guided by what is right. We expect our employees and anyone associated with iov42 to be honest, trustworthy, respectful, responsible, fair, kind, and good citizens.

Our success is based on the reputation and trust we build with partners, investors and customers. As our employees’ behaviour reflects on our company, we act in a manner that protects the company’s reputation and builds trusted, long-term relationships with our partners and customers. We are a company that our partners, investors, and stakeholders can trust in and rely on. iov42 only succeeds to the degree that we treat our partners, customers, co-workers, investors, and stakeholders fairly and honestly. When we fail to negotiate, perform, or market in good faith, we seriously damage our reputation and the trusted, long-term relationships with our partners and customers. In order to avoid even the appearance of impropriety, we avoid conflicts of interest of any kind and strongly oppose any form of corruption or bribes.

We want to keep the entrepreneurial feeling and sense of ownership for our staff. We want iov42 to be a place where our people want to be and feel it is a place where they can do their best work. We always aim to treat our employees in a fair and consistent manner, promoting good working relationships, encouraging high standards of conduct and work performance, and providing fair rewards. We also aim to provide a healthy workplace, free from risk with due regard for the health, safety, and welfare of all employees. We are committed to a violence-free work environment, and we will not tolerate any level of violence or the threat of violence in the workplace.

IV. Celebrating Diversity

Different people have different perspectives on issues, and that can be valuable for solving problems or generating new ideas. V. Combatting Discrimination and Harassment

iov42 is committed to provide a work environment that is free from discrimination, intimidation, harassment, abuse, and bullying in any form. Verbal or physical conduct by any employee that harasses another or disrupts another’s work performance or creates an intimidating, offensive, abusive, or hostile work environment will not be tolerated. This particularly applies to unwelcome sexual advances, requests for sexual favors, and other unwelcome verbal or physical conduct of a sexual nature.

VI. Recognizing our Responsibility for the Environment

Understanding our responsibility to contribute to a sustainable society, we are committed to lead the industry in minimising the impact of our activities on the environment. In addition, we are developing solutions to leverage our technology for climate action.

VII. Speaking Up

If any employee sees or hears something that they think isn’t right, they are strongly encouraged to speak up. Our employees are especially encouraged to raise legitimate concerns in a responsible way through the established grievance procedure in circumstances where they believe that there has been some form of malpractice, underhanded, or illegal behaviour and where disclosure is in the public interest (“Whistleblowing”). Similarly, employees are encouraged and expected to help each other by speaking out when they happen to witness any form of discrimination, intimidation, harassment, abuse, or bullying, or when a co-worker’s conduct makes them or others uncomfortable. Any reports, concerns and complaints will be handled with the highest level of respect and in the strictest confidence.

We appreciate that there may be occasions where employees see or hear things that while not illegal or underhanded, may well be unethical or make them feel uncomfortable. To address these concerns, iov42 has in place an “Ethics Hotline” for these situations.

VIII. Legality and Respect for Human Rights

iov42 takes its responsibilities to comply with applicable laws and regulations very seriously and each employee is expected to comply with applicable legal requirements and prohibitions.

We believe that the full respect of human rights and democracy are the best context to develop our operation, and that our commitment to human rights results from our ethical principles more than from our legal obligations. Therefore, iov42 is strongly committed to meet its responsibility to respect all internationally recognized human rights standards, such as the rights set out in the International Bill of Human Rights and the principles concerning fundamental rights set out in the International Labour Organization’s Declaration on Fundamental Principles and Rights at Work.
